Terms & Conditions

Please read these terms carefully before using the Bellio Digital platform.

Acceptance of Terms

By accessing or using the Bellio Digital platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and any additional terms applicable to specific features you use. If you do not agree to these Terms, you may not access or use our Service.

These Terms apply to all visitors, users, agency partners, and others who access or use the Service, including those utilizing our white-label solutions, reporting integrations, and API-connected services.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email and a prominent notice on our platform at least 30 days before they take effect. Continued use of the Service after the effective date of changes constitutes acceptance of the modified Terms.

Description of Services

Bellio Digital provides an AI-powered white-label platform for digital marketing agencies and businesses, including:

Core Services

  • AI-powered content generation and writing system using third-party AI providers (OpenAI and Anthropic).
  • SEO research and optimization tools integrating with DataForSEO, SurferSEO, and other research providers.
  • Client Relationship Management (CRM) with lead tracking, client data management, and pipeline tools.
  • White-label reporting integrating with Google Analytics 4 (GA4), Google Search Console (GSC), and Google Business Profile (GBP).
  • Google Business Profile management features for authorized business listings.
  • Project management, deliverable tracking, and team collaboration tools.
  • Document generation, export (including Google Drive integration), and template management.
  • Plagiarism and readability analysis via Originality.ai integration.
  • Website crawling and content extraction capabilities.

Service Limitations

  • AI-generated content is produced by third-party AI models (OpenAI GPT-4o, o3-mini, o1; Anthropic Claude 3.5 and Claude 4). While we strive for quality, AI-generated content should be reviewed by qualified professionals before publication.
  • Service availability, features, and capabilities may change as we continue to improve the platform. We will provide reasonable notice of material changes.
  • Our platform relies on third-party service providers. Outages or changes to third-party services (including Google APIs, AI providers, and payment processors) may temporarily affect our Service.

User Accounts & Security

Account Registration

  • You must provide accurate, current, and complete information during registration, including your name, email address, and account type.
  • You agree to keep your account information up to date and to maintain the confidentiality of your credentials.
  • Each account is for a single user or entity. Account sharing is not permitted unless through our team invitation features.

Authentication & Security

  • We offer multiple authentication methods: email/password with two-factor authentication (2FA), Google OAuth, GitHub OAuth, and magic link sign-in.
  • If you use email/password authentication, two-factor authentication via email OTP is enforced for your protection.
  • You are responsible for all activities that occur under your account, including actions by team members you invite.
  • You must notify us immediately at scheduling@belliodigital.com if you become aware of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or compromise the security of our platform or other users.

Google API Services Compliance

Certain features of our Service integrate with Google APIs, including Google Analytics 4, Google Search Console, and Google Business Profile. Your use of these features is subject to the following additional terms:

Google API Terms

  • Our use of Google APIs complies with the Google API Services User Data Policy, including the Limited Use requirements. See our Privacy Policy (Section 4) for detailed scope-by-scope disclosures.
  • By connecting your Google account to our Service, you authorize us to access the specific Google data scopes you approve during the OAuth consent process. The scopes we request are: userinfo.email (account identification), analytics.readonly (GA4 reporting data), webmasters.readonly (Search Console data), and business.manage (Google Business Profile data).
  • We only request read-only access where available. The business.manage scope is used because Google does not offer a more limited read-only scope for Business Profile data.
  • You may revoke Google API access at any time through your account settings or directly at https://myaccount.google.com/permissions.

Google Business Profile Management

  • If you use our Google Business Profile features to manage business listings, you must either own the listings or be authorized by the business owner to manage them on their behalf.
  • You must comply with all Google Business Profile policies, including the Business Profile third-party policies when managing listings on behalf of end-clients.
  • If our Service makes changes to an end-client’s Google Business Profile account (such as adding a manager), you are responsible for providing notice to the end-client of the change within 48 hours, as required by Google’s third-party policies.
  • Review responses and Q&A interactions posted through our Service on behalf of end-clients require their prior authorization.
  • You must not use Google Business Profile features for lead generation, unauthorized listing creation, or any purpose outside the scope of managing listings you own or are authorized to manage.

Data Handling for Google Services

  • Google user data accessed through our platform (via analytics.readonly, webmasters.readonly, business.manage, and userinfo.email scopes) is processed in accordance with our Privacy Policy and Google’s Limited Use requirements.
  • We do not use Google user data for advertising, retargeting, or interest-based profiling. Data is used solely to provide the user-facing reporting and management features you have enabled.
  • Google OAuth tokens are encrypted at rest using AES-256 encryption. Upon disconnection or account termination, stored tokens are deleted immediately.

White-Label Services & Agency Partners

White-Label Rights

  • Agency partners who subscribe to our white-label services may rebrand generated content, reports, and deliverables and present them to their end-clients under their own brand identity.
  • White-label branding must not misrepresent the nature of the services or create confusion about the underlying technology. You may not claim to have developed the underlying AI technology or platform.

Agency Responsibilities

  • You retain full responsibility for the accuracy and appropriateness of any content, reports, or data delivered to your end-clients, even when generated or sourced through our platform.
  • You are the data controller for any end-client data you input into our platform. You must obtain appropriate consent from your end-clients before inputting their data or connecting their accounts.
  • You must maintain your own privacy policy and terms of service that disclose your use of third-party platforms for data processing.
  • You are responsible for ensuring your use of white-label services complies with applicable advertising, consumer protection, and data privacy regulations in your jurisdiction.

End-Client Relationship

  • When an end-client terminates their relationship with you, you must disconnect their accounts and data from our platform within 7 business days of their request.
  • You must provide your end-clients with a clear and accessible way to request data deletion or account disconnection.
  • We will not contact your end-clients directly or use their data for any purpose other than providing our services to you.

AI-Generated Content & Disclaimers

Content Generation

  • Our platform uses third-party AI models from OpenAI and Anthropic to generate content. These AI models operate based on statistical patterns and may produce content that is inaccurate, incomplete, or inappropriate.
  • AI-generated content does not constitute professional advice (legal, medical, financial, or otherwise) and should not be relied upon as such.
  • You are solely responsible for reviewing, editing, and verifying all AI-generated content before publishing, distributing, or using it in any capacity.

Content Ownership & Licensing

  • Content generated through our platform for your account is licensed to you under a non-exclusive, worldwide, perpetual license to use, modify, and distribute.
  • We do not guarantee that AI-generated content is unique or free from similarity to existing published content. We offer plagiarism checking tools (via Originality.ai) that you should use to verify originality before publication.
  • You are responsible for ensuring that your use of generated content does not infringe on third-party intellectual property rights.

Data Sent to AI Providers

  • When you use content generation features, your text inputs (topics, keywords, instructions, business context) are sent to OpenAI and/or Anthropic for processing.
  • We do not send your personal account information (name, email, password) to AI providers. Only the content inputs you provide for generation are transmitted.
  • AI providers may process your inputs according to their own data handling policies. We recommend reviewing OpenAI’s and Anthropic’s privacy policies for details on how they handle data.

Intellectual Property

Our Platform

  • The Bellio Digital platform, including its design, code, AI integration architecture, algorithms, and documentation, is our intellectual property and is protected by copyright and other intellectual property laws.
  • You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of our platform.

Your Content

  • You retain all rights to your original content, data, and materials that you upload or input into our platform.
  • By providing content to our platform, you grant us a limited, non-exclusive license to process it as needed to deliver our services (e.g., sending text to AI providers for generation, storing documents in your account).
  • This license terminates when you delete the content or your account.

Third-Party Content & Branding

  • Google, Google Analytics, Google Search Console, Google Business Profile, and related marks are trademarks of Google LLC. Our use of these services does not imply endorsement by Google.
  • All third-party trademarks, service marks, and brand names appearing on our platform belong to their respective owners.

Payment Terms

Subscriptions & Billing

  • Paid services are billed in advance on a subscription basis through Stripe, our payment processor. Subscription fees are charged at the beginning of each billing period.
  • By subscribing, you authorize Stripe to charge your payment method on a recurring basis. Stripe receives your payment card details directly; we do not store your full card number.
  • Subscription fees are non-refundable except as required by law or as specified in a separate refund policy.

Credits

  • Credit-based services (such as AI content generation) consume credits according to published usage rates that vary by AI model and content type.
  • Credits expire according to the terms of your subscription plan.
  • Credit balances are non-transferable between accounts.

Price Changes & Late Payments

  • We reserve the right to modify pricing with 30 days’ written notice. Price changes take effect at the start of your next billing cycle following the notice period.
  • Failure to make timely payments may result in service suspension or termination.
  • You are responsible for all applicable taxes associated with your use of the Service.

Data Security & Handling

Our Security Commitments

  • All data is encrypted in transit using TLS/SSL and encrypted at rest in our database.
  • Passwords are hashed using bcrypt; we never store plaintext passwords.
  • Google OAuth tokens for reporting integrations are encrypted using AES-256 encryption.
  • We enforce Content Security Policy (CSP), X-Frame-Options, and other HTTP security headers.
  • Two-factor authentication and reCAPTCHA v3 are used to protect authentication endpoints.

Your Security Responsibilities

  • You must maintain the confidentiality of your account credentials and any API keys provided to you.
  • You must not share account access outside of our authorized team invitation features.
  • If you manage end-client data through our platform, you are responsible for the security of any data you export from our platform.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the use of the Service.

Our Commitments

  • We will not disclose your client data, business strategies, or proprietary content to third parties except as necessary to provide the Service (e.g., sending content to AI providers for generation) or as required by law.
  • White-label reports and deliverables are branded under your identity and do not expose our platform to your end-clients unless you choose otherwise.
  • CRM data, client credentials, and business information stored in your account are accessible only to authorized users within your account.

Your Commitments

  • You agree not to disclose our proprietary technology, pricing structures, or business methodologies to competitors or unauthorized third parties.
  • Credentials and access details stored in our CRM are protected by encryption. You are responsible for ensuring that storing such credentials in our platform is authorized by the credential owner.

Acceptable Use

You agree not to use our Service to:

Prohibited Activities

  • Generate, distribute, or store content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
  • Violate any applicable local, state, national, or international law or regulation.
  • Infringe on the intellectual property rights of any third party.
  • Engage in any form of automated abuse, including scraping, unauthorized API access, or denial-of-service attacks.
  • Misrepresent your identity or impersonate any person or entity.
  • Use Google API integrations for purposes not authorized by Google’s policies, including lead generation through the GoogleLocations endpoint, automated review manipulation, or unauthorized listing creation.
  • Attempt to circumvent security measures, access controls, or usage limits.
  • Store or transmit malicious code, viruses, or harmful data through our platform.
  • Use our AI content generation features to create content intended to deceive, manipulate, or defraud.

We reserve the right to investigate and take appropriate action against anyone who violates these restrictions, including suspending or terminating access to the Service.

Limitation of Liability

Disclaimer of Warranties

  • The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We do not warrant that AI-generated content will be error-free, accurate, suitable for any particular purpose, or compliant with specific regulations.
  • We do not warrant uninterrupted or error-free operation of the Service, as it depends on third-party infrastructure and service providers.

Limitation of Damages

  • To the maximum extent permitted by law, Bellio Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or revenues.
  • Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total amount you paid us in the twelve (12) months preceding the claim.
  • We are not liable for any damages resulting from: (a) your reliance on AI-generated content without proper review, (b) service interruptions caused by third-party provider outages, (c) unauthorized access to your account resulting from your failure to maintain credential security, or (d) data loss beyond our reasonable control.

Termination

Voluntary Termination

  • You may terminate your account at any time by contacting us. Termination takes effect at the end of the current billing period.
  • Before termination, you may request an export of your data, including generated documents, CRM records, and reports.

Involuntary Termination

  • We may immediately suspend or terminate your access if you violate these Terms, engage in fraudulent activity, fail to make required payments, or if required to do so by a third-party service provider (e.g., Google revoking API access).
  • We will provide reasonable notice when possible and an opportunity to cure non-material breaches before termination.

Effects of Termination

  • Upon termination, your right to use the Service ceases immediately.
  • You may request a data export within 30 days of termination. After 30 days, we may delete your account data in accordance with our Privacy Policy.
  • If you manage end-client Google Business Profile accounts through our platform, you must disconnect those accounts prior to termination to ensure end-clients retain access.
  • Sections relating to intellectual property, confidentiality, limitation of liability, dispute resolution, and indemnification survive termination.

Indemnification

You agree to indemnify, defend, and hold harmless Bellio Digital, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising from:

Indemnification Triggers

  • Your use of the Service in violation of these Terms.
  • Content you create, generate, publish, or distribute using our platform.
  • Your violation of any applicable law, regulation, or third-party right.
  • End-client claims arising from your use of our white-label services.
  • Unauthorized use of Google API integrations, including violations of Google Business Profile policies.
  • Any breach of your confidentiality obligations under these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions.

Any legal proceedings arising from these Terms or the use of our Service shall be brought in the courts of competent jurisdiction.

Nothing in these Terms limits your rights under mandatory consumer protection laws in your jurisdiction, where applicable.

Dispute Resolution

Informal Resolution

  • Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties for a period of 30 days.
  • Disputes should be initiated by sending written notice to scheduling@belliodigital.com describing the nature of the dispute and proposed resolution.

Formal Resolution

  • If negotiation fails to resolve the dispute within 30 days, either party may pursue binding arbitration or, where permitted, small claims court.
  • Class action lawsuits, class-wide arbitrations, and any other proceeding where someone acts in a representative capacity are not permitted under these Terms.

Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to your registered address and through a prominent notice on our platform at least 30 days before they take effect.

Non-material changes (such as formatting corrections or clarifications that do not affect your rights or obligations) may be made without advance notice.

Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and may request account deletion.
